PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

These Terms of Service ("Terms") govern your access to and use of the Mundus AI website located at mundusai.co.uk (the "Website"), our mobile applications (if any) (the "Applications"), and the all-in-one AI-powered marketing tools, platform, content generation services, scheduling, analytics, competitor tracking, sentiment analysis, agency features, Adobe Express integration, and related services (collectively, the "Service") provided by Mundus AI LTD, a company registered in England and Wales under company number [Insert Your Company Number Here] with its registered office at 258 Mill Road, Cambridge, United Kingdom ("Mundus AI", "we", "us", or "our").

IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY, BUSINESS OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS, IN WHICH CASE THE TERMS "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT ACCEPT THESE TERMS AND MAY NOT USE THE SERVICE.

These Terms are governed by the laws of England and Wales. You may not access or use the Service or accept the Terms if you are not at least 18 years old.

For specific terms related to our AI features, please also review our AI Supplementary Terms, which form part of these Terms of Service.

1. Service Description

Mundus AI is an all-in-one AI-powered marketing platform designed to help businesses and marketing agencies streamline and enhance their marketing efforts. The Service enables users to:

• Generate comprehensive marketing strategies tailored to their needs.
• Create various types of content, including text, images, and carousels, utilising advanced artificial intelligence (AI).
• Schedule and automatically publish content to connected social media platforms (Third-Party Services).
• Perform competitor analysis and monitor competitor activities on social media.
• Track the performance of their content and social media pages through integrated analytics tools.
• Edit visual content using an integration with Adobe Express (subject to Adobe's terms).
• Manage multiple brands or clients through dedicated Sub-Client Accounts within the platform.

We continuously work to improve the Service and reserve the right to modify, add, or remove features or functionalities, subject to the terms outlined herein, particularly Section 10 (Amendments).

2. User Registration Requirements

2.1 Account Creation

To access and use the Service, you must register for an account ("Account"). During registration, you agree to provide a valid email address, your first name, last name, and create a secure password. All information provided must be accurate, current, and complete.

2.2 Account Maintenance

You are solely responsible for maintaining the confidentiality and security of your Account credentials (password) and for keeping your Account information (including contact and billing details) accurate and up-to-date. You accept responsibility for all activities that occur under your Account, whether authorised by you or not. You must notify Mundus AI immediately of any suspected or actual unauthorised use of your Account or any other breach of security via support@mundusai.co.uk.

2.3 Account Termination

(a) By User: You may terminate your Account at any time by accessing the relevant settings within your Account dashboard or by contacting support. Termination will be effective according to the cancellation terms in Section 3.6.

(b) By Mundus AI: We reserve the right to suspend or terminate your Account and access to the Service, with or without notice, if: (i) you materially breach these Terms (including non-payment of Fees); (ii) your Account remains inactive for an extended period (ninety (90) consecutive days or more); (iii) we are required to do so by law or regulation; (iv) your use of the Service poses a security risk or is deemed harmful to Mundus AI, the Service, or other users; or (v) we discontinue the Service (subject to Section 10).

2.4 Account Recovery

If you lose access to your Account, you may initiate the recovery process via the provided email-based mechanism. For security, Multi-Factor Authentication (MFA), where implemented, may be required to verify your identity during recovery. You are responsible for maintaining access to the email address associated with your Account.

3. Subscription Terms

3.1 Free Trial

Mundus AI may offer a Free Trial for a limited period of fourteen (14) days from the date of Account creation. The Free Trial provides access to limited functionality and usage caps (e.g., specific number of content generations) as described on our Website or during sign-up. No credit card is required to start the Free Trial. To continue accessing the Service beyond the trial period or its usage limits, you must purchase a paid Subscription. Mundus AI reserves the right to modify or withdraw the Free Trial offer at any time.

3.2 Tiered Pricing & Plans

The Service is offered under various paid Subscription plans ("Plans") with differing features, usage limits (e.g., image/video generations, number of brands managed), and functionalities. Current plans include:

• Starter: Free (Includes 3 image generations, 1 brand, 1 strategy, basic analytics tools).
• Professional: £19.99 per month (Includes 15 image generations, 1 brand, limited features).
• Start-Up: £79.99 per month (Includes 40 images, 10 videos, 3 brands, analytics tools).
• Agency: Contact us for custom pricing and features tailored to your specific needs.

Detailed features and limits for each Plan are available on our pricing page (mundusai.co.uk/pricing). We reserve the right to modify plans and pricing as per Section 3.8.

3.3 Payment Terms

Subscription Fees are billed in advance on a recurring basis (typically monthly, unless an annual plan is selected). Payment is due upon the commencement of each Subscription Period.

3.4 Annual Subscription Discount

Users selecting an annual Subscription plan paid in advance may be eligible for a discount (currently 15%) compared to the equivalent monthly rate, as specified on the pricing page.

3.5 Renewal

Your Subscription will automatically renew at the end of each Subscription Period (monthly or annually) for a subsequent period of the same duration, unless you cancel your Subscription at least twenty-four (24) hours before the end of the current Subscription Period. You authorise Mundus AI to charge the applicable Subscription Fee for the renewal period using the Payment Method associated with your Account.

3.6 Cancellation Policy

You may cancel your Subscription at any time through your Account settings or by contacting support.

Cancellations will take effect at the end of the current paid Subscription Period. You will retain access to the paid features until the end of that period.

Refunds: Except as required by mandatory applicable law:

• If you cancel within the first fourteen (14) days of your initial paid Subscription starting (following a Free Trial or direct purchase), you are eligible for a pro-rated refund for the unused portion of that first Subscription Period.
• After the initial 14-day period, or for any subsequent renewal periods, no refunds or credits will be issued for partial Subscription months/years, unused time, downgrades, or if you cancel your Subscription before the end of the term. (Legal Counsel to verify "pro-rata within 14 days" interpretation.)

3.7 Payment Processing

We use secure third-party payment processors (e.g., Stripe) to handle all payment transactions. By providing your payment information, you agree to the terms and privacy policy of the payment processor. Mundus AI does not store your full credit card details.

3.8 Fee Changes

Mundus AI reserves the right to change Subscription Fees or introduce new charges. We will provide you with at least thirty (30) days' advance notice of any Fee changes (via email or in-app notification). Fee changes will apply to the next Subscription Period following the notice period. If you do not agree to the Fee change, you must cancel your Subscription before the change takes effect. Your continued use of the Service after the Fee change constitutes your agreement to pay the modified Fee.

4. Platform Usage Rules

4.1 Rate Limiting

To ensure service stability and fair usage, your access to certain parts of the Service, particularly API access (if provided) and intensive processes like content generation, may be subject to rate limits. Unless otherwise specified for your Plan, API usage is generally limited to fifty (50) requests per minute. Content generation (images, videos, strategies) is limited according to the specific quotas defined in your active Subscription Plan (see Section 3.2 and pricing page). Exceeding these limits may result in temporary throttling or require upgrading your Plan.

4.2 Acceptable Use

You agree to use the Service solely for legitimate and lawful marketing purposes related to your own business or, if you are an agency, for the clients you are authorised to represent via Sub-Client Accounts. You must comply with these Terms, all applicable laws (including UK advertising standards, data protection, and intellectual property laws), and the terms of any connected Third-Party Services.

4.3 Prohibited Activities

You expressly agree not to, and not to permit any third party (including Authorised Users) to:

• (a) Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying structure of the AI models or any part of the Platform software.
• (b) Use any robot, spider, scraper, or other automated means to access, monitor, copy, or extract data from the Platform or Service, beyond the intended functionality or documented API limits (if applicable).
• (c) Share a single user Account login credential among multiple individuals or allow access to your Account by individuals outside your organisation (except for Authorised Users under appropriate multi-user or agency plans). Sharing login credentials compromises security and is a violation of these Terms.
• (d) Generate, upload, post, or distribute any Content (User Content or AI-Generated Content) that infringes upon or violates the intellectual property rights (copyrights, trademarks, patents, trade secrets), privacy rights, publicity rights, or other proprietary rights of any third party.
• (e) Use the Platform or Service to create, promote, or distribute content that is illegal, fraudulent, deceptive, harmful, defamatory, libellous, obscene, threatening, harassing, abusive, hateful, discriminatory, violent, or otherwise objectionable, or that promotes illegal activities.
• (f) Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service.
• (g) Attempt to gain unauthorised access to the Service, other user accounts, or related systems or networks.

5. AI-Generated Content Provisions

5.1 Content Generation Process

The Service employs artificial intelligence, including large language models and image generation models, to generate marketing content (such as strategies, text copy, image context descriptions, images, carousel ideas) ("AI-Generated Content") based on the Prompts, inputs, preferences, and information you provide.

5.2 Ownership of Generated Content

Subject to your full compliance with these Terms, including timely payment of all applicable Fees, Mundus AI hereby assigns to you all rights, title, and interest it may have in the specific AI-Generated Content outputs created by the Service solely and directly for your Account in response to your Prompts. You own the output you generate under these conditions. This ownership does not extend to the underlying AI models or the Service itself.

5.3 Usage Rights

You are granted the right to use the AI-Generated Content you own (per Section 5.2) for your commercial or non-commercial purposes. This includes the right to reproduce, distribute, publicly display, modify, adapt, create derivative works from, and otherwise exploit the content, subject always to your responsibilities under Section 5.5 and Section 6.

5.4 Mundus AI's Right to Use for Improvement

You grant Mundus AI a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up licence to use usage patterns, prompts (in anonymised form), and AI-Generated Content (in anonymised form) solely for the purpose of improving, developing, and refining the Service, including its AI models. All such data used for improvement will be anonymised or aggregated such that it cannot reasonably be linked back to you or your specific brand or clients.

5.5 Content Limitations & User Responsibility

6. Intellectual Property Rights

6.1 User-Provided Content

You retain all pre-existing rights, title, and interest in and to the Content you upload, submit, or otherwise provide to the Platform ("User Content"). You grant Mundus AI the necessary licence to host, process, and display your User Content solely for the purpose of providing the Service to you (as detailed further in our Privacy Policy and potentially a DPA).

6.2 Platform Content & IP

Mundus AI and its licensors retain all rights, title, and interest in and to the Service itself, including the user interface elements, underlying software, AI models (subject to Section 5.2 regarding output ownership), platform design, documentation, aggregate data, Mundus AI trademarks, logos, and all other intellectual property associated with the Platform ("Mundus AI IP"). These Terms grant you no rights to Mundus AI IP other than the limited licence to use the Service as described herein.

6.3 AI Training Data Usage & Opt-Out

As stated in Section 5.4, Mundus AI may use anonymised and aggregated data derived from User Content, Prompts, and AI-Generated Content to train and improve its AI models and the Service generally. This data will not be traceable back to you or contain personal information. 6.4 Brand Assets Warranty

You represent and warrant that you own or have secured all necessary rights, licences, consents, and permissions to upload and use any brand assets (such as logos, brand colours, fonts, trademarks, product images, etc.) you provide to the Platform for use in content generation or strategy development, and that such use does not infringe any third-party rights.

6.5 Third-Party Integration Content

When you connect Third-Party Services (e.g., Adobe Express, social media platforms) and share or receive content through those integrations, the ownership and usage rights of that content are governed by the terms of service of those respective Third-Party Services, in addition to these Terms where applicable. Mundus AI is not responsible for content rights management within Third-Party Services.

7. Limitation of Liability

7.1 Service Availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. While Mundus AI uses reasonable efforts to maintain service availability, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, nor do we guarantee 100% uptime. Scheduled maintenance and unforeseen issues may occur.

7.2 AI Outputs Disclaimer

Mundus AI expressly disclaims any and all warranties, whether express or implied, regarding the effectiveness, accuracy, originality, suitability, legality, or commercial viability of any AI-Generated Content produced by the Service. Your use of AI-Generated Content is entirely at your own risk.

7.3 Marketing Outcomes Disclaimer

Mundus AI makes no representations, warranties, or guarantees regarding the business results, marketing performance, increase in sales, engagement, or any other specific outcomes that may or may not result from using the strategies, content, or analytics provided by the Service. Marketing success depends on numerous factors beyond the scope of the Service.

7.4 Data Loss Disclaimer

We implement reasonable data backup procedures for data stored within the Service. However, in the event of system failure or other unforeseen circumstances, data loss is possible. Mundus AI does not guarantee against the loss or corruption of your User Content, AI-Generated Content, or other Account data and recommends you maintain your own backups of critical information.

7.5 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF MUNDUS AI LTD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, "MUNDUS AI PARTIES"), FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE), SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO MUNDUS AI FOR THE SERVICE DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THE CAUSE OF ACTION AROSE. IF NO FEES WERE PAID DURING THAT PERIOD, THE MAXIMUM LIABILITY SHALL BE LIMITED TO ONE HUNDRED POUNDS STERLING (£100.00).

7.6 Exclusions from Limitations

Nothing in these Terms shall limit or exclude Mundus AI's liability for: (a) death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors; (b) fraud or fraudulent misrepresentation; or (c) any matter in respect of which it would be unlawful for Mundus AI to exclude or restrict liability under English law.

(UK Legal Note: Ensure Section 7.5 liability cap is deemed reasonable under UCTA 1977 by your UK solicitor.)

8. Indemnification

8.1 User Indemnity Obligations

You agree to defend, indemnify, and hold harmless Mundus AI LTD, its affiliates, and their respective officers, directors, employees, agents, licensors, and successors (the "Mundus AI Parties") from and against any and all claims, demands, suits, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable solicitors' fees and costs) arising out of or relating to:

• (a) Your breach or alleged breach of any provision of these Terms of Service, including any representation or warranty herein.
• (b) Any User Content you submit, post, transmit, or otherwise make available through the Service, including claims of infringement, defamation, or illegality.
• (c) Your creation, use, publication, distribution, or modification of AI-Generated Content, including claims related to inaccuracy, lack of originality, infringement, or non-compliance with laws or third-party terms.
• (d) Your violation of any applicable laws, regulations, or standards (including advertising standards).
• (e) Your violation of the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
• (f) Your use of the Service (or use by anyone accessing the Service through your Account).
• (g) Any dispute between you and your own clients arising from your use of the Service (if applicable).

8.2 Defence Cooperation

You agree to cooperate fully with Mundus AI in the defence of any claim subject to indemnification under this Section.

8.3 Settlement & Defence Control

Mundus AI reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter). You agree not to settle any such claim without Mundus AI's prior written consent.

9. Dispute Resolution

9.1 Initial Resolution

We encourage you to contact our support team first at support@mundusai.co.uk to resolve any issues or disputes informally. We aim to resolve concerns quickly and efficiently.

9.2 Mandatory Mediation

If a dispute arising out of or relating to these Terms cannot be resolved amicably through support channels within thirty (30) days, the parties agree to first attempt to settle the dispute by mediation administered by a mutually agreed-upon mediator or, failing agreement, by a mediator appointed by the Centre for Effective Dispute Resolution (CEDR) under its Model Mediation Procedure. Unless otherwise agreed, the mediation will take place in London, England. Engaging in mediation is a condition precedent to commencing litigation, except for applications for urgent injunctive relief.

9.3 Governing Law

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

9.4 Venue (Jurisdiction)

Subject to Section 9.2 (Mediation), each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.

9.5 Class Action Waiver

ALL DISPUTES BETWEEN YOU AND MUNDUS AI MUST BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AGREE THAT YOU WILL NOT PARTICIPATE IN A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION LAWSUIT AGAINST MUNDUS AI. Disputes may not be consolidated or joined with any other person's claim, except as otherwise agreed by Mundus AI in writing.

9.6 Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to the use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred, notwithstanding any statute or law to the contrary.

10. Amendments

10.1 Amendment Process

Mundus AI reserves the right to modify or update these Terms at any time. We will provide you with at least thirty (30) days' notice of any significant changes before they take effect.

10.2 Notification

Notice of amendments will be provided via the email address associated with your Account and/or through a prominent notification within the Service interface (e.g., an in-app banner). We will also update the "Last Updated" date at the top of these Terms.

10.3 Acceptance of Amendments

Your continued access to or use of the Service after the effective date of the amended Terms constitutes your acceptance of the changes. If you do not agree to the amended Terms, you must stop using the Service and cancel your Subscription before the effective date.

10.4 Material Changes

For changes we deem particularly material (at our sole discretion), we may require you to explicitly accept the updated Terms upon your next login to continue using the Service.

10.5 Version History

We will maintain an accessible archive of previous versions of these Terms on our Website (e.g., at mundusai.co.uk/terms-archive or similar).

11. General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy (mundusai.co.uk/privacy-policy) and any specific terms applicable to Subscription plans agreed upon via the Website or in a separate mutually executed document (if any), constitute the entire agreement between you and Mundus AI regarding the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, proposals, or representations, written or oral, concerning its subject matter. In the event of any conflict between these Terms and specific terms in a mutually executed agreement, the terms of the executed agreement shall prevail. No terms or conditions stated in any purchase order or other order documentation submitted by you (excluding a mutually executed agreement) shall be incorporated into or form any part of these Terms, and all such terms or conditions shall be null and void.

11.2 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without Mundus AI's prior written consent (which shall not be unreasonably withheld). Any attempted assignment or transfer in violation of the foregoing will be null and void. Mundus AI may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

11.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Terms shall remain in full force and effect.

11.4 Waiver

The failure by either party to enforce any provision of these Terms will not constitute a waiver of future enforcement of that or any other provision. No waiver of any provision of these Terms shall be effective unless it is in writing and signed by the party granting the waiver.

11.5 Notices

Any notices or other communications required or permitted hereunder shall be in writing and shall be deemed duly given: (i) when delivered personally; (ii) when sent by confirmed email (notices to you will be sent to the email associated with your Account; notices to Mundus AI must be sent to legal@mundusai.co.uk); (iii) three (3) business days after sending by registered or certified mail, return receipt requested, postage prepaid; or (iv) one (1) business day after deposit with a nationally recognised overnight courier, freight prepaid, specifying next business day delivery. Notices to Mundus AI should be addressed to the attention of the Legal Department at the registered address listed in Section 11.6, with a mandatory email copy to legal@mundusai.co.uk.

11.7 Force Majeure

Neither party shall be liable hereunder for any failure or delay in the performance of its obligations under these Terms (except for the payment of money) if such failure or delay is on account of causes beyond its reasonable control, including civil disturbances, acts of God, earthquake, flood, fire, regulatory changes, terrorism, war, riots, epidemics, pandemics, failure of internet or telecommunications providers, significant changes to Third-Party Service APIs or availability, or denial-of-service attacks ("Force Majeure Event"), provided the affected party notifies the other party promptly and uses reasonable commercial efforts to minimise the effects.

11.8 Relationship of the Parties

The parties are independent contractors. These Terms do not create, and shall not be construed as creating, a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. Neither party has any authority to bind the other party in any respect.

11.9 Third-Party Beneficiaries

There are no third-party beneficiaries intended under these Terms.

11.10 Export Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United Kingdom, the United States, the European Union, or other relevant authority has embargoed goods or services. You agree to comply with all applicable export and re-export control laws and regulations, including those of the UK, US, and EU. You agree not to export, or permit users to export or re-export, the Service in violation of any such restrictions, laws or regulations.

11.11 Headings

The section headings in these Terms are for convenience only and shall not affect their interpretation.

12. User Acceptance

12.1 Affirmative Consent

By registering for an Account, clicking an "I Accept", "Sign Up", or similar button or checkbox referencing these Terms during the registration or payment process, or by accessing or using the Service after being presented with these Terms or notice of an update, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms of Service and the accompanying Privacy Policy (mundusai.co.uk/privacy-policy). Your access to and use of the Service is expressly conditioned upon your acceptance of these Terms. If you do not agree to these Terms, you must not register, access, or use the Service.

12.2 Record Keeping

Mundus AI maintains electronic records of user acceptance of these Terms, including the specific version agreed to and the date and time of acceptance, as part of your Account information.

12.3 Acceptance of Updates

As detailed in Section 10 (Amendments), your continued use of the Service following the effective date of any notified changes to these Terms constitutes your binding acceptance of the amended Terms.
